SMiD Cloud Online Sales Terms

The following Sales Terms apply to all sales.

The online store provided by Criptotec SL (SMiD Cloud) on the site https://smidcloud.com (the «Store») allows you to purchase certain identified products and services (collectively, the «Products» or «Product») from SMiD Cloud and available depending on the location from which you purchase the Products. Your purchase from the Store constitutes your agreement to be bound by these terms of sale (“Terms”) and the provisions of the Limited Warranty included with our Products. The Products may include software in any form («Software»), and such Software may only be licensed to you, not sold, and only in accordance with SMiD Cloud’s General Terms and Conditions. The purchasing, installation, execution and use of the SMID equipment, as well as the download, execution or implementation of any computer program or updates provided by Criptotec S.L, constitutes the full and unconditional acceptance of this agreement.

Although our Store is accessible worldwide, the Products offered are not designed and tested for use in all countries. If you choose to make a purchase from our Store or to use our Products outside the European Union (“EU”), the United States or Canada, you understand and agree that you are doing so on your own initiative and perhaps at your own peril in terms of the functionality and legality of your purchase and intended use, and that you are solely responsible for complying with all applicable local laws in your country. You expressly understand and agree that your purchase or use of the Products outside of the EU, Canada or the U.S. renders all provisions of these Terms void and of no pertinence or application to such purchase or use, and that SMiD Cloud makes no representation, warranty or other promise to you relating to the purchase or use of the Products.

Orders

When you place an order through SMiD Cloud’s Store we will ask you for certain personally identifiable information, including your name, phone number, email address, shipping and billing address, and other information so as to allow us to properly fulfill your order. When you place an order, SMiD Cloud’s third-party payment service provider will collect your credit card details and charge your credit card account in connection with the order, and you agree to make all applicable payments in connection with any order placed by you. You agree to provide current, complete and accurate purchase and account information for all purchases made at our Store. You agree to promptly update your account and other information, including your email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.

Pricing

You agree to pay all fees for orders you place with us based on our then-current fees, charges, and billing terms as stated on our website at the time of purchase. You expressly agree that SMiD Cloud is permitted to bill you for the applicable fees, any applicable tax, and any other charges you may incur in connection with your purchase and the fees will be billed to your credit card, debit card, or other payment method designated on your initial order. SMiD Cloud is not liable for any loss caused by any unauthorized use of your credit card, debit card or any other method of payment by a third party in connection with your use of the Service. SMiD Cloud reserves the right to change its billing methods at any time. All descriptions of products or product pricing are subject to change at any time.

Resale and Modifications of Orders

Purchases made through SMiD Cloud’s Store are intended for retail consumer end-use only, and no purchaser may resale any Products unless such person or entity is a SMiD Cloud Authorized Reseller. We reserve the right to refuse any order placed with us for any reason, including a reasonable suspicion that any order appear to be intended to result in a resale. Therefore, in our unilateral discretion, we may limit, cancel or reject quantities purchased on per person, per household, or per order basis, in our sole discretion. Such determinations to restrict orders may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address on a one-time or serial basis.

In the event that we limit, cancel or reject an order, we may attempt to notify you by contacting the email and/or billing address and phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole discretion, appear to be placed by dealers, resellers or distributors or persons or entities we believe are purchasing with the intention of reselling. We also reserve the right to limit the sales of our Products to any person, geographic region or jurisdiction.

Any offer for any Products made on this site is void where prohibited.

Shipping and Returns

SMiD Cloud will pack the Products in accordance with its standard practices. You can choose the method of shipment and timing of delivery for Products ordered. We will charge you for shipping and handling. Scheduled shipment dates are estimates only. SMiD Cloud will make reasonable efforts to meet the scheduled shipment dates, but in no event will SMiD Cloud be liable for any loss, damage, or penalty resulting from any delay in shipment or delivery for reasons outside of SMiD Cloud’s unilateral control.

If you are not satisfied with any Product purchased from the SMiD Cloud Store for any reason, you will have thirty (30) days from the date of purchase to request a full refund.

Return & Refunds

If you are the original end-user or purchaser of the SMiD Cloud security product (the «Product») and you are not satisfied with this Product for any reason, you may return it in its original condition within thirty (30) days of the original purchase and receive a full refund. Only items that have been purchased directly from SMiD Cloud online can be returned to SMiD Cloud.

Return Instructions

  1. Contact us at support@smidcloud.com
  2. All products must be returned in good condition, in original boxes (whenever possible), and with all accessories to ensure full credit.
  3. Pack the product securely in the original package, if possible.
  4. Enclose the bottom portion of the original packing slip with the product. Be sure to keep the top portion of the packing slip for your records. If you cannot send your packing slip, please include your order number, billing name, and address with the product.
  5. All return shipping charges must be prepaid.
  6. For your protection, we recommend that you use an Insured Parcel Post for your return.
  7. Keep the Return Tracking Number from the package you are returning to ensure that the package is returned to the warehouse.
  8. You can expect a refund in the same form of payment originally used for purchase within 30 days of our receiving your returned product.

SMiD Cloud Products purchased through other retailers must be returned in accordance with their respective returns and refunds policy. Shipping costs will not be refunded for international orders. If you wish to cancel your order, or if you would like to schedule a return, contact us at support@smidcloud.com with your order details.

SMiDCloud Limited Warranty

If you have purchased a SMiD Cloud product («Product») from one of our retail partners please contact them directly to arrange an exchange or refund before making a claim under SMiD Cloud’s One Year Limited Warranty.

BY USING YOUR SMIDCLOUD SECURITY HARDWARE PRODUCT YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THE SMIDCLOUD ONE (1) YEAR LIMITED WARRANTY («WARRANTY») AS SET OUT BELOW. DO NOT USE YOUR PRODUCT UNTIL YOU HAVE READ THE TERMS OF THE WARRANTY. IF YOU DO NOT AGREE TO THE TERMS OF THE WARRANTY, DO NOT USE THE PRODUCT AND RETURN IT WITHIN THE RETURN PERIOD AND IN ACCORDANCE WITH SMIDCLOUD’S RETURN POLICY.

THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY BY STATE, COUNTRY, OR PROVINCE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS LIMITED WARRANTY WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW. FOR A FULL DESCRIPTION OF YOUR LEGAL RIGHTS YOU SHOULD REFER TO THE LAWS APPLICABLE IN YOUR STATE, COUNTRY, OR PROVINCE.

SMiD Cloud’s warranty obligations for this hardware Product are limited to the terms set forth below:

Criptotec SL («SMiDCloud») warrants this SMiD Cloud security hardware Product and accessories contained in the original packaging against defects in materials and workmanship when used normally in accordance with SMiD Cloud’s technical specifications and user manual for a period of ONE (1) YEAR from the date of original retail purchase by the end-user or purchaser, except that if you reside in the European Economic Area (EEA) and you purchased your SMiD Cloud Product in the EEA, the warranty period is two (2) years from the date of purchase («Warranty Period»).

If during this warranty period a defect arises and you submit a valid claim to SMiD Cloud and follow the instructions for returning the Product, we will, at our option, either (i) repair the Product using either new or refurbished parts, (ii) replace the Product with a new or refurbished Product, or (iii) refund the purchase price of the Product. A replacement Product assumes the remaining warranty period of the original Product or ninety (90) days from the date of replacement or repair, whichever provides longer coverage for you. When a Product is exchanged, any replacement item becomes your property and the replaced item becomes SMiD Cloud’s property. When a refund is given, the Product for which the refund is provided must be returned to SMiD Cloud and becomes SMiD Cloud’s property.

To obtain warranty service for any Product that is subject to the foregoing warranty, the consumer must notify SMiD Cloud to obtain a Return Material Authorization («RMA») and return the defective Product together with proof of purchase to the address specified by SMiD Cloud in connection with the RMA.

This Limited Warranty applies only to hardware Products manufactured by or for SMiD Cloud that can be identified by the «SMiD Cloud» trade name, or logo affixed to them. This warranty does not apply: (i) to consumable parts, such as batteries, unless failure has occurred due to a defect in materials or workmanship of the SMiD Cloud Product itself; (ii) to cosmetic damage, including but not limited to scratches, dents and broken plastic on ports; (iii) defects or damage caused by misuse, accident (including, without limitation, collision, fire and the spillage of food or liquid), neglect, abuse, alteration, unusual stress, modification, improper or unauthorized repair, installation, testing, or improper storage; (iv) to damage caused by operating the Product outside the permitted or intended uses described by SMiD Cloud; (v) to damage caused by use with non-SMiD Cloud products. This Limited Warranty does not apply to any software, even if packaged or sold with SMiD Cloud hardware. SMiD Cloud does not warrant that the operation of the Product will be uninterrupted or error-free.

This warranty applies only to SMiD Cloud products purchased by end users from SMiD Cloud and its authorized resellers. This warranty is void for purchases made from any other reseller, and SMiD Cloud offers no warranty for such purchases.

SMiD Cloud will use reasonable commercial efforts to deliver the Products as described. SMiD Cloud is not responsible for damage arising from failure to follow instructions relating to the Product’s use.
